Terms of Service	The information provided on this website relates to SJP Opportunities Fund SICAV Ltd. (the “Company”) and is intended solely for Qualifying Investors (as defined below) and their duly authorized agents. The information contained on the website does not constitute, does not purport to be and may not be used as an offer or invitation to subscribe for or otherwise deal in shares in the Company. The Company is established under the laws of Malta and is licensed and regulated by the Malta Financial Services Authority (the “MFSA”) as a Professional Investor Fund available to Qualifying Investors. It is the responsibility of any persons accessing this website to inform themselves of, and to observe and comply with, all applicable laws and regulations of any relevant jurisdiction. The term “Qualifying Investor” means a person who meets at least one of the following criteria: (i) a body corporate that has net assets in excess of EUR 750,000 or which is part of a group which has net assets in excess of EUR 750,000; (ii) an unincorporated body of persons or association which has net assets in excess of EUR 750,000; (iii) a trust where the net value of the trust’s assets is in excess of EUR 750,000; (iv) an individual, or in the case of a body corporate, the majority of its board of directors or in the case of a partnership its general partner, who has reasonable experience in the acquisition and/or disposal of: a. funds of a similar nature or risk profile; b. property of the same kind as the property, or a substantial part of the property, to which the Company relates; (v) an individual, whose net worth or joint net worth with that person’s spouse, exceeds EUR 750,000; (vi) a senior employee or director of services providers to the Company; (vii) a relation or close friend of the promoters, limited to a total of ten (10) persons; (viii) an entity with (or which is part of a group with) EUR 3.75 million or more under discretionary management, investing on its own account; (ix) the investor qualifies as a PIF promoted to Qualifying Investors or Extraordinary Investors (both such terms as defined in the Investment Services Rules for Professional Investor Funds issued by the MFSA); (x) an entity (body corporate or partnership) wholly owned by persons or entities satisfying any of the criteria listed in (i) to (ix) above which is used as an investment vehicle by such persons or entities. The Company and New College Capital Ltd. (and any of their respective directors, officers, agents or employees) shall not be liable for any loss or damages caused or liabilities incurred by the use of this website or reliance upon its content.
